Payroll

We process payroll starting from one employee:

  • Weekly, bi-weekly, semi-monthly or monthly processing
  • Direct deposit and pay stubs
  • Payroll tax calculation and deposits
  • Payroll returns: Forms 941, 940 and applicable state filings (e.g. DE 9 in California)
  • Year-end W-2 and 1099 forms
  • Onboarding, terminations and new hire reporting

Important warning: payroll taxes withheld from employees are not company money. Using them for other expenses triggers severe penalties and personal liability for owners. If you're behind on payroll deposits, this is urgent.

Sales tax

Seller's permit registration, calculation and filing of periodic returns, rate review by jurisdiction, cash-flow planning, and responses to notices and discrepancies.

Entity formation: LLC, corporations, DBA and licenses

  • LLC, corporation and S-Corp formation
  • Fictitious business name (DBA) and publication where required
  • Employer Identification Number (EIN)
  • City and state business licenses
  • Operating agreements and initial minutes
  • Annual reports and entity maintenance

LLC or corporation?

It depends on four things: your income, how many partners there are, whether you'll have employees, and your risk exposure. The wrong structure can cost thousands in unnecessary taxes or leave you personally exposed.

In general terms: an LLC is flexible and simple to maintain, with profits flowing to your personal return and subject to self-employment tax. An S-Corp can reduce self-employment tax once profits are significant, but requires formal payroll for the owner and more compliance. A C-Corp rarely fits a small service business, though it makes sense in certain investment scenarios.

There's no single right answer. In the consultation we review your actual numbers and tell you which fits and why.

Business tax returns

Corporations (Forms 1120, 1120-S); partnerships (Form 1065) with partner K-1s; Schedule C for sole proprietors; extensions and estimated payments; asset and vehicle depreciation.

Audits and representation

If you're facing an audit, preparation is everything. We review your accounts and supporting records before the auditor sees them, gather and organize documentation, prepare the necessary financial statements, represent you before the auditor, respond to IRS and state letters, and design a corrective plan so it doesn't recur.

Our founder worked as an auditor before opening the firm, so we prepare files knowing exactly what gets examined and how.

I received an IRS letter — what now?

Don't ignore it and don't answer casually. Keep the envelope and the full letter, including the notice number (top right, e.g. CP2000, CP14, Letter 525). Note the deadline. Send it to us before responding. We determine what's actually being requested, prepare the response with supporting documentation, and represent you if needed.

My business hasn't filed for several years

More common than people think, and fixable. We pull your history from the IRS, rebuild the missing years oldest to newest, evaluate whether penalty relief applies, and review payment plan options if a balance is due. Interest and penalties keep accruing while nothing is filed — filing voluntarily almost always beats waiting for the IRS to act first.

What we don't currently offer

For now we don't prepare personal (individual, Form 1040) tax returns, process ITIN numbers, or offer notary public services — we're in the process of getting licensed for those. If a visitor asks, let them know it isn't available right now and that we'll announce it once it is.
